BilaFundi Works Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and BilaFundi Works ("BilaFundi", "we", "us", or "our").

BilaFundi is a company headquartered in Nairobi, Kenya, operating a global digital construction and infrastructure outsourcing platform that connects clients, property owners, organisations, contractors, technical handymen, service providers, material suppliers, and other professionals.

By:

  • Creating a BilaFundi account;

  • Accessing the BilaFundi website;

  • Using any BilaFundi service;

  • Posting a project, tender, requirement, listing, or request;

  • Applying for or responding to a project or tender;

  • Making or receiving a payment through the platform; or

  • Otherwise using the platform,

you agree to be bound by these Terms.

If you do not agree to these Terms, you must not create an account or use BilaFundi.

2. About BilaFundi

BilaFundi operates a digital platform designed to facilitate connections and interactions between users involved in construction, property, infrastructure, technical services, procurement, and related activities.

Depending on the services available in your location, BilaFundi may allow users to:

  • Create profiles;

  • Search for providers;

  • Publish projects;

  • Request services;

  • Post tenders;

  • Submit proposals;

  • Request quotations;

  • Compare providers;

  • Communicate with other users;

  • Obtain cost estimates;

  • Use AI-powered features;

  • Make or receive payments;

  • Publish reviews;

  • Access project-related information; and

  • Use other construction and infrastructure-related services.

BilaFundi is primarily a technology platform and marketplace facilitator.

Unless expressly stated otherwise, BilaFundi does not itself provide the professional, construction, engineering, design, repair, installation, procurement, or other services offered by independent providers through the platform.

3. Who Can Use BilaFundi

BilaFundi is available internationally, subject to these Terms and applicable local laws.

You must:

  • Be at least 18 years old;

  • Have legal capacity to enter into a binding agreement;

  • Provide accurate information;

  • Comply with applicable laws;

  • Have authority to act on behalf of an organisation where you register or act for an organisation; and

  • Comply with these Terms and applicable BilaFundi policies.

Businesses, organisations, contractors, government entities, and other legal entities must be properly established or registered where required by applicable law.

BilaFundi may request evidence of identity, registration, licensing, or authority where reasonably necessary.

4. International Users

BilaFundi may be accessed from countries around the world.

However, availability of specific services may differ depending on:

  • Country;

  • Local regulations;

  • Payment infrastructure;

  • Provider availability;

  • Licensing requirements;

  • Data-protection requirements;

  • Sanctions or restrictions; and

  • Other operational considerations.

You are responsible for ensuring that your use of BilaFundi complies with laws applicable to you.

5. Creating and Maintaining an Account

Certain BilaFundi features require an account.

When creating an account, you agree to provide accurate, current, and complete information.

You must not:

  • Impersonate another person;

  • Create an account using false information;

  • Use another person's identity without authorization;

  • Register an organisation you are not authorized to represent;

  • Create accounts for fraudulent purposes; or

  • Misrepresent your qualifications, experience, business, or services.

You are responsible for keeping your account information accurate.

6. Account Security

You are responsible for protecting your:

  • Password;

  • Login credentials;

  • Authentication codes;

  • Devices;

  • Email account; and

  • Other credentials used to access BilaFundi.

You must not share your login credentials with another person.

You are responsible for activity conducted through your account unless you can demonstrate that such activity resulted from circumstances for which you were not responsible.

If you suspect unauthorized access, you must notify BilaFundi promptly at:

BilaFundi may temporarily restrict an account where reasonably necessary to protect the account, the platform, or other users.

7. Client Responsibilities

Clients using BilaFundi to find providers, obtain quotations, request services, or publish projects agree to:

  • Provide accurate project information;

  • Provide sufficient information for providers to understand the requirement;

  • Communicate honestly and in good faith;

  • Respond reasonably to providers;

  • Make payments when due;

  • Comply with applicable laws;

  • Obtain permits and approvals required for their project;

  • Verify provider qualifications where appropriate;

  • Make their own assessment before hiring a provider; and

  • Honor agreements entered into with providers.

Clients must not:

  • Publish fraudulent projects;

  • Misrepresent project requirements;

  • Use BilaFundi to obtain confidential provider information for unauthorized purposes;

  • Manipulate reviews;

  • Request illegal services;

  • Misuse provider information;

  • Circumvent platform fees; or

  • Use BilaFundi to facilitate unlawful activity.

8. Provider Responsibilities

Providers include contractors, technical handymen, consultants, tradespeople, service providers, suppliers, and other professionals.

Providers agree to:

  • Provide accurate profile information;

  • Accurately represent qualifications and experience;

  • Describe services honestly;

  • Maintain applicable professional licences;

  • Maintain required permits and certifications;

  • Maintain appropriate insurance where legally or contractually required;

  • Provide accurate quotations and proposals;

  • Communicate professionally;

  • Deliver services as agreed with clients;

  • Comply with applicable health and safety requirements;

  • Comply with applicable employment and professional laws; and

  • Treat clients and other users professionally.

Providers must not:

  • Falsify qualifications;

  • Claim licences they do not possess;

  • Misrepresent previous work;

  • Submit fraudulent quotations;

  • Manipulate reviews;

  • Harass clients;

  • Request prohibited payments;

  • Use BilaFundi for illegal activities; or

  • Circumvent BilaFundi fees through information obtained from the platform.

9. Organisation and Tender-Poster Responsibilities

Organisations may use BilaFundi to publish procurement opportunities, tenders, projects, or service requirements.

Organisations agree to:

  • Publish genuine opportunities;

  • Provide accurate tender information;

  • Clearly identify material requirements;

  • Treat applicants fairly;

  • Comply with applicable procurement laws;

  • Avoid unlawful discrimination;

  • Communicate material award decisions where appropriate;

  • Honor legitimate commitments made through the platform; and

  • Maintain appropriate records where legally required.

Organisations must not use BilaFundi to publish:

  • Dummy tenders;

  • Fake procurement opportunities;

  • Fraudulent projects;

  • Misleading market surveys presented as genuine tenders;

  • Opportunities intended solely to collect competitor information; or

  • Illegal procurement opportunities.

10. Contracts Between Users

BilaFundi may facilitate introductions, communications, proposals, quotations, and transactions between users.

However, unless expressly stated otherwise, any contract for construction, technical, professional, procurement, supply, repair, installation, design, or other services is between the relevant users.

For example, a contract between a client and a provider is generally a contract between the client and provider—not between the client and BilaFundi.

Users are responsible for:

  • Negotiating terms;

  • Confirming scope of work;

  • Agreeing prices;

  • Confirming timelines;

  • Establishing payment terms;

  • Verifying qualifications;

  • Agreeing warranties;

  • Establishing responsibilities;

  • Obtaining required permits; and

  • Resolving disputes arising from their agreement.

BilaFundi does not guarantee that users will enter into a contract or that a contract will be performed successfully.

11. Off-Platform Transactions and Fee Avoidance

Users must not intentionally use BilaFundi to obtain another user's contact details, project information, quotation, tender information, or other platform-derived information for the purpose of circumventing applicable BilaFundi fees.

This includes:

  • Soliciting a client to transact privately solely to avoid platform fees;

  • Moving a transaction off BilaFundi after being introduced through the platform for the purpose of avoiding fees;

  • Providing false information to avoid platform charges; or

  • Circumventing BilaFundi's payment or transaction mechanisms.

This provision does not prevent users from exercising rights that cannot lawfully be restricted or from conducting legitimate independent business relationships unrelated to BilaFundi.

12. Referral Program

BilaFundi may operate a referral program under which qualifying users can receive referral rewards, commissions, or bounties.

Applicable rates and requirements may be displayed on the BilaFundi Referral Rates page.

Referral rewards are payable only where the applicable qualifying conditions are satisfied.

BilaFundi may:

  • Review referrals for fraud;

  • Withhold suspicious rewards;

  • Reverse rewards obtained improperly;

  • Reject duplicate referrals;

  • Reject self-referrals;

  • Suspend referral accounts;

  • Limit referral activity; and

  • Change referral rates prospectively.

Examples of prohibited referral activity include:

  • Self-referral;

  • Fake accounts;

  • Automated referrals;

  • Duplicate accounts;

  • Fraudulent signups;

  • Manipulated transactions; and

  • Other activity designed to obtain rewards improperly.

Changes to referral rules generally apply prospectively and do not affect rewards already validly earned under the applicable rules, subject to fraud investigation or reversal of improperly obtained rewards.

13. Fees, Pricing, and Subscriptions

BilaFundi may charge:

  • Subscription fees;

  • Listing fees;

  • Transaction fees;

  • Service fees;

  • Referral-related charges;

  • Commission fees;

  • Premium feature fees; or

  • Other charges.

Applicable prices will be displayed through BilaFundi or the relevant service page.

Prices may vary depending on:

  • Country;

  • Currency;

  • Subscription plan;

  • Service;

  • User type;

  • Transaction;

  • Promotional offer; or

  • Other applicable factors.

Unless expressly stated otherwise, applicable taxes may be added where required by law.

14. Subscription Services

Where BilaFundi offers subscription services:

  • The subscription price will be displayed before purchase;

  • The applicable billing interval will be disclosed;

  • Renewal terms will be disclosed where applicable;

  • Users are responsible for maintaining valid payment information; and

  • Cancellation terms will be communicated at the time of subscription.

BilaFundi will provide at least 30 days' notice before increasing fees for an active subscription, unless a shorter period is permitted or required by applicable law.

15. Payments

Payments made through BilaFundi may be processed by third-party payment providers.

When making a payment, you may also be subject to the applicable terms, conditions, privacy practices, and payment-processing rules of the relevant payment provider.

BilaFundi may retain transaction information such as:

  • Transaction reference;

  • Payment status;

  • Amount;

  • Currency;

  • Date and time; and

  • Other information necessary for reconciliation and support.

BilaFundi does not intentionally store users' complete card numbers, card security codes, or mobile-money PINs where payment processing is handled directly by the payment provider.

16. Refunds and Cancellations

Refund eligibility depends on:

  • The service purchased;

  • The applicable subscription terms;

  • The payment method;

  • The circumstances of the transaction; and

  • Applicable law.

Unless otherwise stated or required by law, fees are generally non-refundable after:

  • A service has been rendered;

  • A transaction has been completed; or

  • A subscription period has commenced.

Nothing in this section limits mandatory consumer rights under applicable law.

17. Reviews, Ratings, and User Feedback

BilaFundi may allow users to submit:

  • Reviews;

  • Ratings;

  • Comments;

  • Feedback;

  • Photos;

  • Project outcomes; and

  • Other user-generated content.

Reviews should reflect genuine experiences.

Users must not:

  • Submit fake reviews;

  • Pay for fabricated reviews;

  • Review themselves;

  • Manipulate ratings;

  • Threaten users to obtain favorable reviews;

  • Create multiple accounts to influence ratings; or

  • Submit defamatory, unlawful, or fraudulent content.

BilaFundi may remove or restrict content that violates these Terms or applicable policies.

18. User Content

Users retain ownership of content they lawfully upload to BilaFundi.

This may include:

  • Project descriptions;

  • Photos;

  • Documents;

  • Quotations;

  • Profiles;

  • Reviews;

  • Tender information;

  • Messages; and

  • Other content.

By uploading content, you grant BilaFundi a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, display, transmit, and distribute that content as reasonably necessary to:

  • Operate BilaFundi;

  • Provide requested services;

  • Display profiles and listings;

  • Facilitate communication;

  • Improve platform functionality;

  • Maintain backups;

  • Prevent fraud and abuse;

  • Maintain security; and

  • Comply with legal obligations.

You represent that you have the necessary rights and permissions to upload and share the content.

19. Intellectual Property

BilaFundi and its licensors retain all rights in:

  • BilaFundi's software;

  • Website design;

  • Platform architecture;

  • BilaFundi trademarks;

  • Logos;

  • Brand assets;

  • Original platform content;

  • Documentation;

  • Interface elements; and

  • Other proprietary materials.

Except as expressly permitted by these Terms, you may not:

  • Copy BilaFundi's software;

  • Reverse engineer the platform;

  • Reproduce BilaFundi's branding;

  • Sell access to BilaFundi;

  • Scrape protected platform information;

  • Create unauthorized derivative works; or

  • Use BilaFundi intellectual property without permission.

20. Acceptable Use

Users must comply with the BilaFundi Acceptable Use Policy.

Prohibited activities include:

  • Fraud;

  • Theft;

  • Harassment;

  • Abuse;

  • Spam;

  • Phishing;

  • Malware distribution;

  • Unauthorized access;

  • Identity theft;

  • Impersonation;

  • Illegal procurement;

  • Money laundering;

  • Manipulation of reviews;

  • Platform abuse;

  • Automated attacks;

  • Unauthorized scraping;

  • Circumvention of security controls; and

  • Other unlawful or harmful activity.

BilaFundi may investigate suspected violations and take appropriate action.

21. AI Features

BilaFundi may offer AI-powered services, including:

  • Cost estimation;

  • Project assistance;

  • Search assistance;

  • Recommendations;

  • Content generation;

  • Technical assistance; and

  • Other AI-enabled functionality.

AI-generated information is provided for informational and planning purposes only.

AI outputs may contain:

  • Errors;

  • Incorrect assumptions;

  • Outdated information;

  • Incomplete information; or

  • Incorrect estimates.

AI-generated cost estimates do not constitute:

  • A professional quantity survey;

  • Engineering advice;

  • Architectural advice;

  • Legal advice;

  • Financial advice;

  • Construction certification; or

  • A binding quotation.

Users should obtain appropriate professional advice before relying on AI-generated information for material decisions.

22. Platform Accuracy

BilaFundi does not guarantee that information submitted by users is:

  • Accurate;

  • Complete;

  • Current;

  • Licensed;

  • Verified;

  • Suitable for a particular project; or

  • Free from errors.

Users are responsible for conducting their own due diligence.

Where BilaFundi provides verification badges, provider information, ratings, or other indicators, these should not automatically be interpreted as a guarantee of performance or professional competence.

23. Professional Services Disclaimer

Construction and infrastructure projects can involve substantial technical, financial, regulatory, and safety risks.

Users are responsible for obtaining appropriate professional advice from qualified persons where necessary.

Depending on the project, this may include:

  • Architects;

  • Engineers;

  • Quantity surveyors;

  • Surveyors;

  • Lawyers;

  • Accountants;

  • Safety professionals;

  • Licensed contractors; or

  • Other appropriately qualified professionals.

BilaFundi does not replace such professionals.

24. Location Information

BilaFundi may process location-related information to facilitate services.

This may include:

  • Project locations;

  • Provider service areas;

  • City or county information;

  • Approximate geographic information; and

  • Other location information provided by users.

Users should avoid publishing sensitive personal addresses unnecessarily.

Location information may be visible to other users where necessary to facilitate a project, service, tender, or other platform functionality.

25. Personal Data and Privacy

BilaFundi processes personal information in accordance with its Privacy Policy.

Depending on how you use the platform, information may include:

  • Name;

  • Email;

  • Telephone number;

  • Account information;

  • Business information;

  • Project information;

  • Location information;

  • Transaction information;

  • Device and technical information;

  • Communications; and

  • Other information required to provide the services.

By using BilaFundi, you acknowledge that personal information may be processed as described in the Privacy Policy and as otherwise permitted by applicable law.

26. Security

BilaFundi applies reasonable technical and organizational measures designed to protect information and the platform.

These may include:

  • HTTPS/TLS encryption;

  • Authentication controls;

  • Access controls;

  • Security monitoring;

  • Fraud detection;

  • Logging;

  • Secure development practices;

  • Infrastructure security; and

  • Other appropriate safeguards.

However, no internet-based service can be guaranteed to be completely secure.

Users should review the BilaFundi Security and Data Protection Agreement for additional information.

27. Third-Party Services

BilaFundi may integrate with or rely upon third-party services, including providers for:

  • Payments;

  • Hosting;

  • Analytics;

  • AI;

  • Email;

  • Authentication;

  • Security;

  • File storage;

  • Communications; and

  • Other infrastructure.

Third-party services operate independently and may have their own terms and privacy policies.

BilaFundi is not responsible for the independent operation of third-party services except to the extent liability cannot lawfully be excluded.

28. Availability and Platform Changes

BilaFundi does not guarantee uninterrupted availability of the platform.

The platform may occasionally be unavailable because of:

  • Maintenance;

  • Software updates;

  • Infrastructure problems;

  • Internet outages;

  • Cybersecurity incidents;

  • Third-party service interruptions;

  • Natural disasters;

  • Government action; or

  • Other circumstances beyond BilaFundi's reasonable control.

BilaFundi may modify, suspend, discontinue, or replace platform features where reasonably necessary.

29. External Cyber-Attacks and Security Events

BilaFundi takes reasonable measures to protect its systems but cannot guarantee protection against every cyber threat.

To the maximum extent permitted by law, BilaFundi is not responsible for losses resulting solely from events beyond its reasonable control, including:

  • Sophisticated cyber-attacks;

  • Zero-day vulnerabilities;

  • Ransomware;

  • Malware;

  • Distributed denial-of-service attacks;

  • Supply-chain compromises;

  • Compromised third-party infrastructure;

  • Telecommunications failures;

  • Internet infrastructure failures;

  • State-sponsored attacks; or

  • Other unforeseeable cybersecurity events.

This provision does not exclude liability that cannot legally be excluded.

30. Disclaimers

To the maximum extent permitted by applicable law, BilaFundi provides the platform on an "as is" and "as available" basis.

BilaFundi does not warrant that:

  • The platform will always be available;

  • The platform will be error-free;

  • User content will be accurate;

  • Providers will perform their services;

  • Clients will make payments;

  • Organisations will award tenders;

  • Projects will be completed successfully;

  • Quotes will be accurate;

  • AI outputs will be correct;

  • Providers will possess the qualifications they claim; or

  • Transactions between users will be successful.

BilaFundi is a technology platform and does not guarantee the conduct, reliability, quality, legality, qualifications, or performance of individual users.

31. Limitation of Liability

To the maximum extent permitted by applicable law, BilaFundi will not be liable for:

  • Indirect damages;

  • Incidental damages;

  • Consequential damages;

  • Loss of profits;

  • Loss of revenue;

  • Loss of business opportunities;

  • Loss of goodwill;

  • Loss of anticipated savings;

  • Loss of data; or

  • Other consequential losses arising from your use of the platform.

To the maximum extent permitted by law, BilaFundi's aggregate liability arising from these Terms or your use of BilaFundi will not exceed the total fees you paid to BilaFundi during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

32. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold BilaFundi, its officers, employees, contractors, affiliates, and service providers harmless from claims, liabilities, damages, losses, and reasonable legal expenses arising from:

  • Your breach of these Terms;

  • Your unlawful conduct;

  • Your violation of another person's rights;

  • Content you submit;

  • Your misuse of the platform;

  • Your breach of an agreement with another user;

  • Fraudulent activity associated with your account; or

  • Your violation of applicable laws.

BilaFundi may participate in the defense of a claim where appropriate.

33. Dispute Resolution Between Users

BilaFundi encourages users to attempt to resolve disputes directly and in good faith.

Disputes between a client and provider, or between other platform users, generally remain disputes between those users.

BilaFundi may, where appropriate, assist with communication or provide relevant transaction information, but does not guarantee that it will mediate or resolve every dispute.

Nothing in this section prevents a user from exercising rights available under applicable law.

34. Suspension and Termination

BilaFundi may suspend, restrict, or terminate an account where reasonably necessary, including where:

  • These Terms are violated;

  • The Acceptable Use Policy is violated;

  • Fraud is suspected;

  • The account creates a security risk;

  • The user provides materially false information;

  • The user engages in unlawful activity;

  • Payment obligations are not met;

  • The platform is abused; or

  • Suspension is necessary to protect other users or BilaFundi.

Where reasonably practicable, BilaFundi may provide notice and an opportunity to address the issue.

BilaFundi may take immediate action where necessary to protect security, prevent fraud, comply with law, or prevent harm.

35. Account Closure by the User

You may request closure of your BilaFundi account by contacting:

Closing an account does not automatically:

  • Cancel obligations already incurred;

  • Delete information that BilaFundi is legally required to retain;

  • Resolve outstanding transactions;

  • Eliminate payment obligations; or

  • Remove information that must be retained for security, fraud prevention, legal, or regulatory reasons.

36. Survival

Provisions that by their nature should survive termination will continue after termination.

These may include provisions relating to:

  • Intellectual property;

  • User content;

  • Payments;

  • Disclaimers;

  • Limitation of liability;

  • Indemnification;

  • Dispute resolution;

  • Privacy;

  • Security; and

  • Governing law.

37. Governing Law

These Terms are governed by the laws of Kenya, without regard to conflict-of-law principles, except where mandatory provisions of another jurisdiction's law apply.

BilaFundi operates from Nairobi, Kenya, but serves users internationally.

38. Dispute Resolution and Jurisdiction

Before commencing formal proceedings against BilaFundi, users are encouraged to contact:

  • A description of the dispute;

  • Relevant account information;

  • Relevant transaction information; and

  • The outcome requested.

BilaFundi will make reasonable efforts to resolve disputes informally.

Subject to applicable law, disputes that cannot be resolved informally shall be subject to the jurisdiction of the courts of Nairobi, Kenya.

Nothing in this section removes mandatory consumer rights that give a user the right to bring a claim in another jurisdiction.

39. Electronic Communications

By using BilaFundi, you agree that BilaFundi may communicate with you electronically regarding:

  • Account activity;

  • Security;

  • Transactions;

  • Payments;

  • Service updates;

  • Policy changes;

  • Support matters; and

  • Other matters relating to your use of the platform.

Electronic communications may be sent through:

  • Email;

  • Platform notifications;

  • SMS;

  • Other supported communication channels.

Where applicable law requires a particular form of notice, BilaFundi will seek to comply with that requirement.

40. Changes to These Terms

BilaFundi may update these Terms from time to time.

For material changes, BilaFundi may provide notice through:

  • Email;

  • Website notification;

  • Account notification; or

  • Other reasonable communication methods.

Unless otherwise stated, updated Terms become effective on the stated effective date.

Continued use of BilaFundi after the updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

41. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will continue in full force and effect.

42. No Waiver

A failure by BilaFundi to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.

Any waiver must be made expressly and does not automatically apply to other circumstances.

43. Entire Agreement

These Terms, together with documents expressly incorporated into them, constitute the agreement between you and BilaFundi concerning your use of the platform.

These documents include, where applicable:

  • BilaFundi Privacy Policy;

  • BilaFundi Cookie Policy;

  • BilaFundi Security and Data Protection Agreement;

  • BilaFundi Acceptable Use Policy;

  • Referral Program rules;

  • Pricing and subscription terms; and

  • Other policies expressly incorporated by reference.

44. Assignment

You may not transfer your rights or obligations under these Terms without BilaFundi's prior written consent where such consent is legally required.

BilaFundi may assign or transfer its rights and obligations in connection with:

  • A merger;

  • Acquisition;

  • Corporate restructuring;

  • Sale of assets;

  • Financing;

  • Reorganization; or

  • Transfer of the relevant business.

Any such transfer remains subject to applicable law.

46. Acknowledgement

By creating an account or using BilaFundi, you acknowledge that:

  • You have read these Terms;

  • You understand your responsibilities as a platform user;

  • You understand that BilaFundi primarily provides technology and marketplace services;

  • You understand that contracts between clients, providers, and organisations are generally contracts between those parties;

  • You understand that user-generated information may not be independently verified;

  • You understand that AI-generated information is not professional advice;

  • You understand that payment processing may involve third-party providers;

  • You understand that location and personal information may be processed as described in BilaFundi's Privacy Policy;

  • You are responsible for protecting your account credentials; and

  • You agree to comply with these Terms and applicable laws.

BilaFundi Works
